Terms of Service

These Terms of Service govern your use of ScaleBase, operated by Fixer of the North, a company registered in Finland. By accessing or using ScaleBase, you agree to these Terms. If you do not agree, do not use the Service. The Service is intended for users who are 18 years of age or older.
1. Our Services
ScaleBase is a web-based control panel that helps you provision and operate databases hosted on Scaleway and other supported providers. Information provided through the Service is not intended for distribution in any jurisdiction or country where doing so would be contrary to law or regulation. You access the Service on your own initiative and are responsible for compliance with local laws.
The Service is not tailored to comply with industry-specific regulations such as HIPAA or FISMA. If your interactions would be subject to such regulations, you may not use the Service for those purposes.
2. Intellectual Property
Our intellectual property
Fixer of the North owns or licenses all intellectual property in the Service, including the source code, databases, software, website designs, text, and graphics, as well as the trade marks and service marks displayed within the Service. The Service is provided to you “AS IS” for your personal or internal business use.
Your licence to use the Service
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Service and to use the features made available to you. You may not copy, republish, scrape, sell, or otherwise commercially exploit the Service or its contents without our prior written permission. Any breach of these Terms terminates your licence immediately.
Your submissions
If you send us feedback, suggestions, or other ideas about the Service, you grant us an unrestricted, worldwide, royalty-free licence to use them to operate and improve the Service. You waive any moral rights in such submissions.
3. Your Representations
By using the Service, you represent that: the registration information you provide is true, accurate, current, and complete; you will maintain its accuracy; you have the legal capacity to agree to these Terms; you are not a minor in your jurisdiction; you will not access the Service through automated or non-human means, except through APIs we publish for that purpose using credentials we issue to you; you will not use the Service for any illegal purpose; and your use of the Service will not violate any applicable law.
4. User Registration
You may need to register to use the Service. You are responsible for keeping your credentials confidential and for all activity on your account. We reserve the right to remove or change usernames that we consider inappropriate.
5. Beta and pricing
ScaleBase is currently offered free of charge during a public beta. We may introduce paid plans in future and will provide reasonable notice before doing so. We may also limit, throttle, or modify functionality during the beta in order to protect the Service.
You bring your own Scaleway account to use ScaleBase. Any fees you owe Scaleway (or any other provider you connect) are between you and that provider; Fixer of the North does not collect or process those fees.
6. Prohibited Activities
You may not use the Service for any purpose other than that for which we make it available. In particular, you agree not to:
- Systematically retrieve data from the Service to create a collection or database without our written permission.
- Trick, defraud, or mislead us or other users to obtain sensitive information.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Disparage, tarnish, or otherwise harm us or the Service.
- Use information obtained through the Service to harass, abuse, or harm another person.
- Make improper use of our support services or submit false abuse or misconduct reports.
- Use the Service in a manner inconsistent with applicable laws or regulations.
- Engage in unauthorised framing of, or linking to, the Service.
- Upload or transmit viruses, Trojan horses, or other material that interferes with the operation of the Service.
- Attempt to bypass any measures of the Service designed to prevent or restrict access.
- Decompile, disassemble, or reverse-engineer any of the software comprising the Service, except as expressly permitted by applicable law.
- Use any automated system (such as scrapers, robots, offline readers, or browser-automation tools) to access the Service through its user interface or while signed in to an account — this prohibition does not apply to programmatic use of APIs we publish for that purpose.
- Use the Service to compete with us or for any revenue-generating venture not endorsed by us.
For clarity: nothing in this section restricts the use of APIs we publish for programmatic access, or the use of automated agents acting on your behalf via those APIs with credentials we issue. The intent of these prohibitions is to prevent driving an authenticated user-interface session by automation, scraping the user interface, and impersonating a human user — not to prohibit legitimate programmatic access to the Service's APIs.
7. Service Management
We reserve the right (but have no obligation) to:
- Monitor the Service for violations of these Terms.
- Take appropriate legal action against any user we believe is in violation, including reporting them to law enforcement authorities.
- Refuse, restrict access to, or remove any content that is excessively large or otherwise burdensome to our systems.
- Otherwise manage the Service in a manner designed to protect our rights and the proper functioning of the Service.
8. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy. By using the Service, you agree to be bound by it. ScaleBase’s application servers are operated on infrastructure located in the European Union. We use third-party providers for authentication, analytics, logging, and observability, some of which may operate outside the European Union. If you access the Service from a region with data-protection laws different from those of the European Union, your continued use of the Service represents your consent to the processing of operational data as described in our Privacy Policy.
9. Term and Termination
These Terms remain in effect while you use the Service. We reserve the right, in our sole discretion and without notice or liability, to deny access to the Service to any person for any reason, including for breach of any representation, warranty, or covenant in these Terms. We may also terminate or suspend your account and delete any content you have submitted. If your account is terminated, you may not register a new account under your or any other name.
10. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Service at any time without notice. We are under no obligation to update any information on the Service.
The Service may experience interruptions caused by hardware, software, maintenance, or other issues. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time without notice. You agree that we have no liability for any loss or damage caused by such interruptions or modifications.
11. Governing Law
These Terms are governed by and construed in accordance with the law of Finland. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded. If you are a consumer resident in the European Union, you also enjoy the protection of mandatory provisions of the law of your country of residence.
The parties submit to the non-exclusive jurisdiction of the courts of Pirkanmaa, Finland, in respect of any dispute arising out of or in connection with the Service or these Terms. Consumers may bring proceedings in the courts of their country of residence.
12. Dispute Resolution
Informal negotiations
To expedite resolution and reduce the cost of any dispute, you and Fixer of the North agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating any arbitration or court proceedings. The negotiations begin upon written notice from one party to the other.
Binding arbitration
If informal negotiations do not resolve the dispute, it shall be finally settled by a single arbitrator under the rules of the European Court of Arbitration in force at the time the application is filed. The seat of arbitration shall be Tampere, Finland. The proceedings shall be conducted in English. The substantive law of the arbitration shall be the law of Finland.
Restrictions
Arbitration is limited to disputes between you and Fixer of the North individually. To the fullest extent permitted by law: no arbitration shall be joined with any other; there is no right to have any dispute arbitrated on a class-action basis; and there is no right to bring claims in a representative capacity on behalf of the public or any other persons.
Exceptions
The above does not apply to disputes seeking to enforce or protect intellectual-property rights, claims of theft or piracy, claims for injunctive relief, or where required by mandatory applicable law. If any portion of this section is unenforceable, the relevant dispute shall be brought in the courts of competent jurisdiction set out in section 11.
13. Disclaimer
THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranty that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.
14. Limitations of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FIXER OF THE NORTH OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any cause whatsoever, regardless of the form of the action, is limited to the amount you have paid us in the six (6) months preceding the cause of action. Where you have paid us nothing, our liability is correspondingly limited. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, in which case the above limitations may not apply to you in full.
15. Indemnification
You agree to defend, indemnify, and hold harmless Fixer of the North and our officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand made by any third party arising out of (i) your use of the Service, (ii) breach of these Terms, (iii) breach of your representations and warranties, (iv) violation of the rights of a third party, including intellectual property rights, or (v) any harmful act towards another user.
16. Your data
We maintain operational records that we transmit to and from the Service for the purpose of operating the Service and tracking usage. Although we perform routine backups, you are solely responsible for the data that you submit through the Service and the data that you send to your own database via the Service. You agree that we have no liability to you for any loss or corruption of such data.
17. Electronic Communications
Visiting the Service, sending us emails, and completing online forms are all electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
18. Miscellaneous
These Terms and any policies referenced within constitute the entire agreement between you and Fixer of the North. Our failure to enforce any right or provision will not be considered a waiver of that right. These Terms operate to the fullest extent permissible by law. We may assign our rights and obligations to others at any time. If any provision of these Terms is found to be unlawful or unenforceable, that provision shall be severable and shall not affect the validity of the remaining provisions.
No joint venture, partnership, employment, or agency relationship is created between you and Fixer of the North as a result of these Terms or your use of the Service. You agree that these Terms will not be construed against us by virtue of having drafted them.
